Purch is a conversational AI shopping assistant that helps users discover products and complete purchases using cryptocurrency payments (USDC on Solana). 2. Acceptance of Terms

By using the Services, you represent and warrant that you have read, understood, and agree to be bound by these Terms, as well as any additional terms, conditions, or policies referenced herein or available by hyperlink. If you are using the Services on behalf of an entity, you represent that you have authority to bind such entity to these Terms.

3. Eligibility

You must be at least the age of majority in your jurisdiction and capable of entering into binding agreements to use the Services. By using the Services, you represent and warrant that you meet these eligibility requirements. You may not use the Services if you are subject to sanctions, or are otherwise prohibited under applicable law from accessing blockchain-related technologies or transacting in digital assets.

4. Services Provided

Purch offers an AI-powered shopping assistant that helps you discover products through natural conversation, provides personalized recommendations, and facilitates purchases using USDC cryptocurrency on the Solana blockchain. Our Services include product search and discovery, AI-driven recommendations, smart wallet integration via Crossmint, and order fulfillment coordination with third-party vendors.

Purch does not provide financial, investment, legal, or tax advice. Purch is not your broker, advisor, or fiduciary. No communication or information provided by Purch constitutes investment, legal, or tax advice and you should not rely on it as such. All purchasing decisions made in connection with the Services are your sole responsibility.

5. Non-Custodial Nature and Wallet Responsibility

Purch's Services operate on a non-custodial basis. When you connect your wallet or create a smart wallet through our integration with Crossmint, you maintain sole control over your assets. You are solely responsible for managing your wallet credentials and ensuring the security of your assets. All transactions initiated through the Services are executed by you and not by Purch. You bear full responsibility for verifying all transaction details before execution. Transactions on the blockchain are final and irreversible once submitted. Purch is not liable for lost funds, failed transactions, key compromises, or interactions with malicious smart contracts.

6. Account Security

You are solely responsible for safeguarding any private keys, recovery phrases, or authentication credentials associated with your wallet and Purch account. Any transaction or instruction submitted through valid authentication is deemed authorized by you, whether or not you actually initiated it. If you believe your credentials are compromised, you must immediately revoke access and secure your wallet. Purch is not liable for losses resulting from unauthorized access to your account.

7. AI-Powered Shopping Assistant

Purch uses artificial intelligence and natural language processing to help you discover and purchase products. You acknowledge that AI is an evolving technology and that product recommendations, descriptions, or other outputs may contain errors or inaccuracies. You assume full responsibility for reviewing product details, pricing, and specifications before completing any purchase. Purch disclaims all liability for outcomes resulting from AI-generated recommendations or content.

8. Commerce and Data Collection

To complete purchases, you will be required to provide a valid shipping address. This information will only be used to facilitate order fulfillment with third-party vendors and in accordance with our Privacy Policy. Purch does not sell products directly and does not guarantee the accuracy, quality, or delivery of third-party goods. All disputes regarding product quality, fulfillment, or refunds must be addressed with the vendor. Purch disclaims all responsibility for such disputes.

9. User Conduct

When using the Services, you agree to comply with all applicable laws and these Terms. You agree not to:

10. Third-Party Services

Purch integrates with third-party services including Crossmint for smart wallet functionality, Solana blockchain for payments, and various product vendors for fulfillment. These services are independent of Purch and subject to their own terms. Your use of such third-party services is governed solely by their respective terms and conditions.

Purch utilizes Crossmint to provide smart wallet solutions. By using a Crossmint Smart Wallet via our Services, you acknowledge that your use is subject to Crossmint's terms of service and privacy policy. Purch does not custody assets within your wallet and disclaims all liability for errors, downtime, or security issues related to the Crossmint integration.

11. Payment and Fees

Purchases through Purch are completed using USDC on the Solana blockchain. You are responsible for ensuring sufficient funds in your wallet to cover purchases plus any applicable network fees. Product prices are displayed in USD equivalent. Purch may charge service fees which will be clearly disclosed before transaction completion. You remain responsible for network gas fees and any amounts charged by third-party providers.

12. Taxes

You are solely responsible for determining and fulfilling your obligations under applicable tax laws, including the calculation, reporting, and payment of any taxes resulting from your use of the Services. Purch does not provide tax documentation or advice.

13. Intellectual Property

All intellectual property rights in the Services, including trademarks, content, software, and logos, are the property of Purch or its licensors. You may not copy, modify, distribute, or create derivative works from any part of the Services without prior written consent. Any feedback or suggestions submitted to Purch may be used by us without obligation or compensation.

14. Suspension and Termination

Purch may suspend or terminate your access to the Services at any time for any reason, including suspected violations of these Terms, unlawful activity, or compliance with legal obligations. Upon termination, your right to access the Services shall cease immediately.

15. Disclaimers

The Services are provided on an "as-is" and "as-available" basis, without warranties of any kind. To the fullest extent permitted by law, Purch disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Purch makes no warranty that the Services will be error-free, secure, or continuously available.

16. Limitation of Liability

To the maximum extent permitted by law, Purch shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Services. In no event will Purch's aggregate liability exceed the greater of one hundred United States dollars ($100) or the amount you paid to Purch during the twelve months before the claim arose.

17. Indemnification

You agree to indemnify, defend, and hold harmless Purch, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party rights.

18. Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Services shall be resolved through binding arbitration. You waive the right to litigate disputes in court and agree to resolve all disputes on an individual basis, waiving any right to participate in a class action.

Purch may modify these Terms at any time. The revised Terms will be posted with a new "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
